These Terms of Service (“Terms”) govern the relationship between ShedPros, LLC (“ShedPros,” “we,” “us,” or “our”) and the customer (“Customer,” “you,” or “your”) relating to consultations, estimates, contracts, construction, installation, delivery, placement, site preparation, maintenance services, and website use in the State of Washington.

By requesting an estimate, scheduling services, signing Contract Documents, allowing work to begin, or accessing our website, you agree to be bound by these Terms.

1. Scope of Services

ShedPros provides custom and semi-custom shed construction, delivery, installation/placement, site preparation, maintenance, and related services exclusively within the State of Washington.

ShedPros’ obligations are limited to the scope expressly stated in the signed Contract Documents.

2. Definitions

2.1 “Structure” means the shed or accessory structure identified in the Contract Documents.

2.2 “Contract Documents” means the signed agreement(s), invoice(s), scope of work, specifications, drawings, and written change orders/addenda issued by ShedPros for the project.

2.3 “Change Order” means a written modification to scope, materials, specifications, placement, schedule, or price, signed by ShedPros and Customer.

2.4 “Substantial Completion” means the point at which the Structure is structurally usable for its intended storage purpose, even if minor punch list items remain.

2.5 “Site” means the property where the Structure is to be delivered, installed, placed, or constructed.

3. Document Hierarchy; Conflicts

3.1 The Contract Documents control all project-specific terms, including pricing, scope, materials, and payment schedule.

3.2 In the event of conflict, the following order applies:

(a) the signed Contract Documents (including Change Orders);

(b) the ShedPros Limited Warranty & Maintenance Program Terms (“Warranty Terms”) for all warranty matters;

(c) these Terms of Service;

(d) published policies (including the Refund & Cancellation Policy and Privacy Policy), as applicable.

(e) any marketing materials, advertisements, proposals, website content, social media, brochures, renderings, or verbal statements, which are informational only and non-binding.

4. Estimates; Pricing; Assumptions

4.1 Estimates are non-binding unless expressly stated otherwise in writing.

4.2 Pricing is based on assumptions about Site access, conditions, elevation/grade, utilities/irrigation, customer-provided information, and the scope in the Contract Documents.

4.3 If conditions differ materially from those represented or observed, ShedPros may issue a Change Order for additional labor, equipment, materials, mobilization, or schedule impacts.

5. Customer Responsibilities; Site Conditions; Access

5.1 Customer is responsible for accurate disclosure of Site conditions; providing safe and lawful access; obtaining HOA approvals and permits unless otherwise stated; and ensuring the Site is ready as scheduled.

5.2 ShedPros is not responsible for delays, damage, or additional costs caused by undisclosed Site conditions, restricted access, third-party interference, or customer changes.

6. Scheduling; Delays; Force Majeure

6.1 Schedules are estimates only and may change due to weather, material availability, Site readiness, access, permitting/HOA issues, and other factors beyond ShedPros’ reasonable control.

6.2 ShedPros is not liable for delays or failure to perform caused by events beyond reasonable control (“Force Majeure”).

6.3 Delays do not entitle Customer to cancellation, chargebacks, or damages for work performed or costs incurred.

7. Changes; Substitutions; Customer-Provided Materials

7.1 All changes must be made by written Change Order signed by ShedPros.

7.2 Customer-provided materials or third-party work are not covered unless expressly stated and may affect schedule and warranty coverage.

7.3 Unauthorized modifications or alterations may void warranties and relieve ShedPros of responsibility for related conditions.

8. Payment Terms; Non-Payment Remedies; No Repossession

8.1 Payment Terms Generally

Payment amounts, due dates, and milestones are defined in the Contract Documents. Customer acknowledges ShedPros’ reliance on timely payments.

8.2 Off-Site Builds

ShedPros may withhold delivery, placement, leveling, anchoring, punch-list work, or turnover until all amounts due are paid in full. Final payment is due prior to final placement/anchoring unless stated otherwise.

8.3 On-Site Builds

Progress payments apply. ShedPros may suspend work for non-payment; the Structure may be partially completed at suspension. Partial completion does not waive payment obligations.

8.4 Mid-Build Payment Milestone (On-Site Builds)

Unless otherwise stated, the mid-build payment is due before installation of any finish-stage items, including:

  • roofing shingles and finish roofing components;

  • exterior trim and finish carpentry;

  • exterior doors and locksets (and/or final hanging/installation);

  • exterior paint or stain application.

Commencement of any one item does not waive the requirement that payment be received before continuation of finish-stage work.

8.5 Suspension for Non-Payment

For non-payment, ShedPros may suspend work, reschedule at the next available date after payment clears, withhold delivery/placement/anchoring or final completion, and require payment of outstanding balances before resuming. Customer is responsible for reasonable costs caused by suspension or rescheduling, to the extent permitted by law.

8.6 No Repossession Policy

ShedPros does not rely on self-help repossession. Remedies for non-payment are limited to suspension of services, withholding delivery/placement, statutory lien rights, and lawful collection remedies.

8.7 Collections; Attorneys’ Fees; Interest

Lawful collection remedies may be pursued. To the extent permitted by law and stated in the Contract Documents, Customer agrees to reasonable costs of collection. Any interest or late fees must be expressly stated in the Contract Documents.

8.8 Mechanic’s Lien Rights Reserved

ShedPros reserves all statutory lien and claim rights available under Washington law.

9. Refunds; Cancellations

Refunds and cancellations are governed by the ShedPros Refund & Cancellation Policy and the Contract Documents. Customer acknowledges deposits may be non-refundable as set forth therein. In the event of conflict, the Contract Documents control.

10. Warranty Disclaimer; Exclusive Warranty Terms

All warranty coverage is governed exclusively by the Warranty Terms.

EXCEPT AS EXPRESSLY PROVIDED IN THE WARRANTY TERMS, SHEDPROS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Limitation of Liability

To the maximum extent permitted by law, ShedPros shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of use, loss of profits, inconvenience, or damage to contents or personal property.

ShedPros’ total cumulative liability arising out of or relating to any project, contract, service, or claim shall not exceed the lesser of:

(a) the total amount actually paid to ShedPros by the Customer for the applicable work giving rise to the claim; or

(b) the cost to repair or replace the specific portion of the work determined to be subject to liability.

12. Site Damage; Landscaping; Utilities

Customer acknowledges construction access may affect surfaces. ShedPros is not responsible for undisclosed or unmarked conditions. Customer should contact 811 for public utility locating.

13. Safety; Worksite Control

Customer must keep the work area clear and comply with safety instructions. ShedPros may stop work if unsafe conditions exist.

14. Website Use; Informational Content

Website content is informational only and not a binding offer unless expressly stated in writing.

15. Intellectual Property; Plans; Designs

All ShedPros plans, designs, SKUs, photos, and branding are owned by ShedPros and may not be reused without written permission.

16. No Oral Modifications

No oral statements modify these Terms or Contract Documents. Modifications must be in writing and signed by ShedPros.

17. Dispute Resolution; Governing Law; Venue

These Terms are governed by Washington law. Venue lies in the county where the Structure is located, unless otherwise required by law.

18. Severability

If any provision is unenforceable, the remaining provisions remain in effect.

19. Entire Agreement

These Terms, the Contract Documents, and incorporated policies constitute the entire agreement and supersede prior representations.
